These Terms and Conditions (‘Terms’) govern your access to and use of vitalyxbio.com (the ‘Site’) and your purchase of any products from Vitalyx Bio (‘Vitalyx Bio,’ ‘we,’ ‘us,’ or ‘our’). By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, do not use the Site or purchase our products.
1. Eligibility
You must be at least 21 years of age and have the legal capacity to enter into a binding contract to use this Site or purchase our products. By using the Site or placing an order, you represent and warrant that you are at least 21 years old and that you are a qualified researcher, laboratory professional, or other person acquiring products solely for lawful research purposes.
2. Research Use Only; Buyer Acknowledgements
All products sold by Vitalyx Bio are chemical reagents intended strictly for laboratory and analytical research use. By placing an order, you represent, warrant, and agree that:
- You are acquiring products solely for in-vitro laboratory research, analytical, or educational purposes;
- The products are NOT for human or animal consumption, ingestion, injection, or any therapeutic, diagnostic, cosmetic, or clinical use;
- You will not resell, relabel, or distribute the products for human or animal use, or in any manner that violates applicable law;
- You are qualified by education, training, or experience to handle, store, use, and dispose of research chemicals safely;
- You assume full responsibility for the safe handling, use, storage, and disposal of all products you purchase, and for compliance with all laws governing their possession and use; and
- Vitalyx Bio does not sell to patients and provides no products for personal use.
3. No Warranties
To the fullest extent permitted by law, all products and information are provided ‘as is’ and ‘as available,’ without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Vitalyx Bio makes no warranty, representation, or guarantee regarding any product or any information on the Site. Information on the Site is provided for general reference and educational purposes only and does not constitute advice, a medical opinion, or a statement of fact.
4. Regulatory Status and Compliance
The statements made on this Site have not been evaluated by the U.S. Food and Drug Administration. Our products are not FDA-approved and are not intended to diagnose, treat, cure, or prevent any disease. Vitalyx Bio is a chemical supplier. Vitalyx Bio is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, and is not an outsourcing facility as defined under Section 503B of that Act.
You are solely responsible for knowing and complying with all federal, state, local, and international laws and regulations that apply to your purchase, possession, use, storage, and disposal of the products, including any import, export, and customs requirements. You agree not to use the products in any unlawful manner.
5. No Medical or Professional Advice
Nothing on the Site is intended as, or should be relied upon as, medical, legal, or professional advice. The products are not drugs, supplements, foods, cosmetics, or medical devices, and no claim to the contrary is made.
6. Product Information and Certificates of Analysis
We strive to describe our products accurately, including purity figures and any Certificate of Analysis (COA) we provide. However, product descriptions, images, and COAs are provided for reference only, may reflect a representative batch, and do not constitute a warranty of any kind.
7. Orders, Pricing, and Acceptance
All orders are offers to purchase and are subject to our acceptance. We reserve the right to refuse, cancel, or limit any order for any reason, including suspected misuse, suspected resale for human consumption, pricing or description errors, or suspected fraud. Prices, availability, and promotions may change at any time without notice. In the event of an obvious pricing error, we may cancel the affected order even if it has been confirmed.
8. Payment
We currently accept payment by Zelle and Venmo. After you place an order, your order is created with an on-hold status and you will receive an order number and payment instructions. Payment must be sent to the account shown, and you must include your order number, and only your order number, in the payment memo. Your order will not be processed or shipped until payment is received and confirmed. Orders that remain unpaid may be cancelled.
9. Shipping, Title, and Risk of Loss
We ship within the United States only. Estimated shipping or delivery times are not guaranteed. Title and risk of loss pass to you upon our delivery of the package to the carrier. You are responsible for providing an accurate, complete shipping address; we are not responsible for losses caused by an incorrect address provided at checkout. 10. Assumption of Risk; Safe Handling
Research chemicals can be hazardous and may carry significant risk if mishandled. By purchasing, you knowingly and voluntarily assume all risks associated with the receipt, handling, storage, use, and disposal of the products, and you agree that you are solely responsible for using appropriate safety practices and equipment.
11. Limitation of Liability
To the fullest extent permitted by law, Vitalyx Bio and its owners, operators, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site or any product, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Vitalyx Bio and its owners, operators, employees, partners, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your purchase, possession, handling, use, storage, disposal, or resale of any product, your violation of these Terms, or your violation of any law or the rights of any third party.
13. Intellectual Property
All content on the Site, including text, graphics, logos, images, and product descriptions, is the property of Vitalyx Bio or its licensors and is protected by intellectual-property laws. You may not copy, reproduce, modify, distribute, or otherwise exploit any content without our express written consent.
14. Accounts
An account is required to place an order. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
15. Prohibited Uses
You may not use the Site or products to violate any law; to harm yourself, another person, or an animal; to resell products for human or animal consumption; or to misrepresent your identity, age, or purpose. We may suspend or terminate access and cancel orders for any suspected violation.
16. Dispute Resolution; Binding Arbitration; Class-Action Waiver
Please read this section carefully, as it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product shall be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small-claims court. You and Vitalyx Bio waive any right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. If the class-action waiver is found unenforceable, the remainder of this section shall still apply.
17. Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision above, the exclusive venue for any permitted court action shall be the state or federal courts located in California.
18. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of war or terrorism, civil unrest, labor disputes, governmental action, carrier delays, payment-network outages, or internet disruptions.
19. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Vitalyx Bio regarding the Site and your purchases. We may update these Terms at any time, and the version posted at the time you place an order applies to that order.
